Unauthorized Attempts to Sell Figure Stock

We're sharing these details to help keep your Figure investments safe from scams and unauthorized transfers.

Any transfer of Figure stock or interests in Figure requires board approval.

Both our preferred stock and common stock are subject to transfer restrictions contained in our shareholder agreements, employee stock plan, and/or bylaws. These transfer restrictions also apply to “upstream” transfers—including the sale or transfer of interests in Special Purpose Vehicles (SPVs) or investment funds that hold Figure stock. Any sale or transfer of Figure stock, or any interest in Figure stock, that has not been explicitly approved by our Board of Directors is void and will not be recognized on our books and records. If you currently hold stock or other interests in Figure, you must notify Figure’s Board before effecting any transfer of your interests.

If someone offers you a way to participate, even on an indirect basis, in an investment in Figure, assume it is unauthorized by Figure.

You may receive email communications from “sellers” or “brokers” claiming to offer access to Figure stock. Some of these communications may be scams or fraud. Furthermore, purported sellers may post offers to sell Figure stock on online secondary market platforms via direct sales, forward contracts, tokenized securities and other mechanisms. Secondary market platforms may incorrectly represent to you that transfers have been approved by Figure, when in fact, they have not. You should assume these sales are unauthorized by Figure.

Unauthorized sales may compromise your investment and lead to legal exposure.

Figure reserves the right to invalidate unauthorized transfers and take further legal action consistent with applicable laws. By purchasing or selling Figure stock through unauthorized transfers, you risk not being recognized as a stockholder, losing your investment, and exposing yourself to potential legal liability.

We believe the following online secondary marketplaces have attempted to facilitate unauthorized transfers:

Additionally, the following sellers have attempted to engage in unauthorized transfers:

  • Audeo Ventures

We can confirm whether a transfer is authorized.
